3. Scope of Services
CRUD.IT Solutions Inc. provides:
Custom Software Development
Web and Mobile App Development
Software as a Service (SaaS) platforms
Consulting, API integrations, and technical support
The scope, deliverables, and timelines for each project will be detailed in a signed Service Agreement between the Client and the Company.
4. Intellectual Property Rights
Unless otherwise agreed in writing:
All source code, designs, and deliverables created under a custom software project remain the property of the Client upon full payment.
For SaaS products, CRUD.IT Solutions Inc. retains full ownership of the platform, systems, and underlying codebase.
The Company grants Clients a non-exclusive, non-transferable license to use the software in accordance with agreed usage terms.
5. Client Responsibilities
Clients agree to:
Provide accurate and complete project requirements.
Supply necessary data, approvals, and materials promptly.
Comply with applicable Philippine laws, including data privacy and intellectual property regulations.
Ensure their use of CRUD.IT Solutions Inc. services is lawful and does not violate third-party rights.
6. Payment Terms
For custom development projects, payment terms will be defined in the signed Service Agreement.
For SaaS subscriptions, fees must be paid in advance on a recurring basis.
Late payments may result in suspension or termination of services.
7. Refunds
Refunds are governed by our Refund Policy, available at:

By using our services, you acknowledge and agree to the refund terms.
8. Warranties and Limitations
CRUD.IT Solutions Inc. warrants that services will be provided with reasonable skill, care, and diligence.
However, we do not guarantee that software or services will be error-free, uninterrupted, or meet all client expectations.
Liability is limited to the value of the service provided and excludes consequential or indirect damages.
9. Data Privacy and Security
CRUD.IT Solutions Inc. complies with the Data Privacy Act of 2012 (RA 10173).
Personal data is collected, stored, and processed in accordance with our Privacy Policy.
Clients are responsible for securing their own credentials and access to our systems.
10. Third-Party Services
Our services may integrate with third-party APIs, software, or tools. CRUD.IT Solutions Inc. is not responsible for any failures, data breaches, or service disruptions caused by third-party providers.
11. Termination of Services
CRUD.IT Solutions Inc. reserves the right to:
Suspend or terminate services for non-payment or violation of these Terms.
Terminate projects if the Client engages in illegal activities or breaches intellectual property rights.
Clients may also terminate services subject to the conditions outlined in their signed agreements.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines.
In case of disputes, both parties shall first seek an amicable settlement.
If unresolved, disputes shall be submitted to the proper courts of Makati City, Philippines, which shall have exclusive jurisdiction.
13. Amendments
CRUD.IT Solutions Inc. may update these Terms at any time. Continued use of our website or services constitutes acceptance of the updated Terms.
